writ End User Licence Agreement
Version 1.0, effective 9 October 2026. The version shipped with the Software governs that version.
Licensor: Verilex Technologies LLC ("Verilex") · Software: writ, Canon and their modules · Effective: on acceptance
1. Acceptance
By installing, activating or using the Software you agree to this Agreement. If you are accepting on behalf of an organisation, you confirm you have authority to bind it. If you do not agree, do not install or use the Software, and request a refund within the period in section 10.
2. Licence
Verilex grants you a non-exclusive, non-transferable, revocable licence to install and use the Software, for the term of your subscription or licence key, on the number of instances your key allows, for your own internal purposes.
- A seat is one running instance of writ. A container is an instance.
- A module is a feature of the Software unlocked by your licence key. Modules not in your key stay off.
- An enterprise licence held by a Canon server allows the number of seats and modules it states.
3. Licence keys
Your licence key is personal to the account or organisation it was issued to. You may not share, publish, sell, lend or transfer it. Verilex may revoke a key that is shared, obtained by fraud or chargeback, or used in breach of this Agreement. The Software checks keys locally; where you have chosen an online licence model, it checks in with your Canon server or with Verilex as described in the product documentation.
4. Restrictions
You may not: reverse engineer, decompile or disassemble the Software, except where law permits despite this clause; remove or alter notices; circumvent licence checks; rent, lease or provide the Software as a service to third parties; or use it to build a competing product. You may make a reasonable number of copies for backup.
5. Your data
The Software runs on your machines. Your code, prompts, decisions, records and enforcement evidence stay on your machines and your own Canon server. Verilex does not receive them. The Software sends Verilex only what licensing needs: the licence key identifier, instance identifier and check-in times, where you use an online licence model. The website privacy notice covers your account.
6. Updates
Updates are included while your subscription or licence is current. Verilex may change or retire features between versions; a change that removes a paid module you hold is notified 60 days in advance and carries a pro-rata refund of that module for the remaining term.
7. Support
Every licensee, individual or enterprise, may use the Verilex Discord server for questions, reports and discussion: https://discord.com/invite/bY2R5TmBSz. Verilex monitors it in business hours (US Central) and answers as capacity allows, with no guaranteed response time. Email support at support@verilex.net is answered the same way.
Enterprise customers who hold a support agreement have the response targets stated in that agreement; this Agreement grants none.
8. Feedback
If you give Verilex ideas, suggestions, feature requests, bug reports or other feedback about the Software, in any channel including Discord, email and issue trackers ("Feedback"), you grant Verilex a perpetual, irrevocable, worldwide, royalty-free licence to use, modify, build on and commercialise the Feedback without restriction, attribution or payment. Feedback does not give you any ownership of or interest in the Software or any feature built from it, and Verilex has no duty to use it or keep it confidential. You confirm you have the right to give the Feedback. Do not send Feedback you consider confidential or that belongs to someone else.
9. Ownership
The Software is licensed, not sold. Verilex and its licensors own it and every copy. Open-source components are listed in the Software's notices and governed by their own licences where those licences require it.
10. Term, refunds and termination
The licence runs for the term you bought and ends when your key expires or your subscription lapses. Individual purchases through the website may be refunded within 14 days of first purchase, through the payment provider; the refund revokes the key, which must therefore be one that checks in with Verilex. Offline (air-gapped) keys are non-refundable once issued, because Verilex cannot recall them. This Agreement terminates automatically if you breach it; on termination you must stop using the Software and delete your copies. Sections 8, 9, 11, 12 and 13 survive.
11. Warranty disclaimer
The Software is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. Verilex does not warrant that the Software will make any AI agent's output correct, complete or compliant, or that enforcement cannot be bypassed on a machine you control. Some jurisdictions do not allow these exclusions; there they apply to the extent permitted.
12. Limitation of liability
To the extent permitted by law, Verilex is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, data or business, however caused. Verilex's total liability under this Agreement is limited to the fees you paid for the Software in the 12 months before the claim.
13. General
- Governing law and venue: the laws of the State of Texas, courts of Brazos County, Texas.
- Export: you will comply with US export laws and will not use the Software where US law forbids it.
- US Government: the Software is commercial computer software with the rights of this Agreement only.
- Changes: Verilex may update this Agreement for new versions; the version shipped with the Software you installed governs that version. The current version is published at https://verilex.net/eula.
- Entire agreement: this is the whole agreement about the Software, unless a signed master agreement between you and Verilex says otherwise, in which case it prevails.
- Contact: support@verilex.net for the Software, sales@verilex.net for purchases.
